Peter is based in our Hong Kong office. He is involved in a wide range of corporate work, advising companies, financial institutions and fund management groups.

His recent work includes advising:

  • MTR Corporation Limited, Hong Kong’s mass transit railway operator, in relation to its merger of railway operations with Kowloon-Canton Railway Corporation
  • China Investment Corporation, the Chinese sovereign wealth fund, on the English law aspects of its secured US$1.9 billion senior loan facility investment in PT Bumi Resources Tbk, the largest coal mining company in Indonesia
  • Aareal Bank, Singapore, in respect of the transfer between private equity houses of a project financing relating to real property located in the PRC, including partial paydown and restructuring of the Credit Agreement
  • Davis Polk & Wardwell on Hong Kong security and financial assistance issues in respect of the restructuring of NXP B.V.
  • a private equity investor in relation to its investment in a vehicle for the acquisition of a major commercial property in Shanghai, constituting the then largest ever single-asset real estate deal in the PRC
  • a consortium of private equity investors in relation to their exit of investments in a Hong Kong listed corporation
  • the Oxford Asset Management Group on the launch of the OxAM Quant Fund
  • Amias, Berman & Co. on the legal and regulatory aspects of setting up a fixed income introducing broker and advisory business in Hong Kong
  • Cazenove on Hong Kong regulatory issues relating to its joint venture with JPMorgan and subsequent demerger of its fund management business
  • numerous financial institutions and borrowers on syndicated and bilateral loans
  • Euroclear on issues relating to indirect holdings of collateral and security, and on stamp duty
  • a number of financial institutions  on stamp duty, including relating to stock lending defaults, dematerialisation of holdings, and the creation of tax efficient structures
  • a number of financial institutions on CCASS dematerialisation and settlement
  • an international bank on the Hong Kong implications of a merger by universal succession
  • Standard Chartered Bank on financial integration with various Asian acquisitions
  • YTL Power Finance (Cayman) Limited on its US$250,000,000 Zero Coupon Guaranteed Exchangeable Bonds due 2010
  • JF Asset Management Limited on ISDA Master Agreements
