Andrew undertakes a broad range of corporate and corporate finance work. His practice consists principally of acting for corporate clients on domestic and international corporate finance and M&A transactions, including acquisitions and disposals, mergers and public takeovers, equity issues and joint ventures. He also advises generally on day-to-day company law and corporate governance matters and investment firms on the establishment and structuring of various investment products.

Andrew is head of our sports law group, counting football, in particular, as a specialist area.

His recent work includes advising:

  • FirstGroup on the Class 1 acquisition of Laidlaw International, Inc. for cash consideration of $3.6 billion and the related equity financing, including a book built, non pre-emptive placing of FirstGroup shares raising £220 million, an equity bridge facility of $750 million and a standby equity underwriting agreement
  • SEB on the acquisition of Key Asset Management, a London based fund of hedge funds manager with around £1.5 billion of assets under management
  • Costain Group PLC on the 3 for 4 rights issue of new ordinary shares raising approximately £60 million (net of expenses)
  • RWE on the sale of Thames Water to Kemble Water Limited, a consortium led by the European Infrastructure Funds of Macquarie Bank, for £4.8 billion (an enterprise value of £8 billion)
  • Pilkington on the recommended cash acquisition by Nippon Sheet Glass Co., Ltd
  • Ineos on the acquisition of BP’s petrochemical business, Innovene, for US$9 billion in cash
  • Arsenal Football Club on its transfer and other player dealings (including disciplinary matters)
  • Christian Klien on his driver's contract with the Honda Racing F1 Team
